These Terms of Use govern your use of the website at magisteroperis.com ("the Site"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
1. Who we are
The Site is operated by William C. Kemper, doing business as Magister Operis, with mailing address as listed on the Contact page. References in these Terms to "we," "us," "the firm," and "Magister Operis" mean that operation. The "Magister Operis" name and logo are owned by William C. Kemper.
2. Permitted use of the Site
You may view, read, and reasonably print pages of the Site for your own personal, professional, or non-commercial reference. You may not republish, scrape, mirror, frame, or systematically copy the Site or its content; reproduce its content for commercial use without written permission; use it to send unsolicited communications; use it to disrupt or interfere with the Site's operation; or use it for any unlawful purpose.
Fair-use citation in academic, journalistic, and similar non-commercial work is welcomed without prior approval, provided the source is attributed and the citation does not misrepresent the firm's position.
3. Intellectual property
The text, images, graphics, page designs, document templates, contract structures, methods, diagrams, and other content on the Site are the property of William C. Kemper or are used with permission. They are protected by copyright, trademark, and trade-secret law. All rights not expressly granted by these Terms are reserved.
"Magister Operis," the Magister Operis compass-and-blueprint mark, the phrase "Co-Engineering Win-Win," the phrase "A Mansion is an Attitude — Not a Magnitude," and any other distinctive marks shown on the Site are trademarks of William C. Kemper.
4. Use of the Magister Operis logo and marks
The Magister Operis name, logo, and associated marks may not be used by any third party without prior written permission. Permission is generally granted for the following limited purposes on request:
• identifying Magister Operis as a counterparty in a contract, transaction record, or factual business description;
• press, journalism, or academic citation;
• identifying an active engagement, fee protection agreement, or working relationship that has been signed by Magister Operis.
Permission is not granted to imply endorsement, sponsorship, partnership, or affiliation that does not exist; to use the marks in advertising, marketing, or business solicitation; to incorporate the marks into another logo, product name, or domain name; or to use the marks in any manner that could mislead a reasonable reader as to the relationship between Magister Operis and the user. Requests should be directed to the email address on the Contact page.
5. Linking to this Site
You may link to the home page or any deep page of the Site provided the link is accurate, identifies Magister Operis honestly, does not present the Site as a part of your own site, does not frame or mask the Site's content within your own pages, and is not used in any context that is unlawful, deceptive, or harmful to the firm's reputation. Links should target https://magisteroperis.com or a specific page beneath that domain.
6. The firm's role — what we are and are not
Magister Operis acts as a co-engineer, document-craft specialist, and pre-compliance officer for transactions among capable principals. The firm is not a securities broker-dealer, registered investment adviser, real estate licensee, attorney, accountant, or licensed banker, and the Site is not a substitute for the services of any of those licensed professionals. You should consult appropriate licensed counsel before making any investment, legal, real-estate, or financial decision.
Information on the Site is general in nature. It is not legal, financial, tax, or investment advice. Outlines, templates, and example structures shown on the Site are illustrative; they are not offers, solicitations, or commitments by the firm.
7. No warranty
The Site and its contents are provided on an "as is" and "as available" basis. The firm makes no warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, completeness, uninterrupted availability, or freedom from error. The firm endeavors to keep the Site accurate and current, but does not guarantee that it will be.
8. Limitation of liability
To the maximum extent permitted by applicable law, neither William C. Kemper nor Magister Operis will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, revenue, business, goodwill, or data, arising out of or in connection with your use of the Site — whether in contract, tort, or any other legal theory. Nothing in this paragraph excludes or limits liability for fraud, willful misconduct, or any other liability that cannot lawfully be excluded.
9. Indemnification
You agree to indemnify William C. Kemper and Magister Operis against any third-party claim, demand, or expense arising from your unlawful use of the Site, your breach of these Terms, or your infringement of any other party's rights through your use of the Site.
10. Confidentiality of business correspondence
Information you submit to the firm through the qualification portal or by direct correspondence is treated as confidential by default. Conversely, if you receive information from the firm in connection with an engagement that is not generally public — including business plans, document templates, methods, fee arrangements, principal identities, or transaction structures — you agree to keep that information confidential and to use it only for the purpose for which it was provided to you.
11. Third-party links and services
The Site may link to third-party websites, services, or content. The firm is not responsible for the availability, accuracy, or practices of those third parties. Following an outbound link is at your discretion and risk.
12. Privacy
Your privacy is governed by the firm's Privacy Policy, which is incorporated into these Terms by reference.
13. Export controls
You may not access or use the Site in violation of United States export-control laws or regulations. The firm does not knowingly engage with persons or entities subject to U.S. trade sanctions, on the U.S. Treasury OFAC Specially Designated Nationals list, or otherwise barred under U.S. or applicable international law.
14. Children
The Site is intended for adult professional audiences. Minors are not eligible to use the Site or to submit information through it.
15. Changes to these Terms
The firm may revise these Terms from time to time. The current version is posted at this URL with the effective date shown above; the current version supersedes all prior versions. Material changes that affect your rights will be highlighted with a clear notice on the Site for a reasonable period after the change takes effect.
16. Governing law and jurisdiction
These Terms and your use of the Site are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Hall County, Georgia, and you consent to the personal jurisdiction of those courts. The prevailing party in any such proceeding shall be entitled to recover its reasonable attorneys' fees and costs.
17. Entire agreement; severability
These Terms, together with the Privacy Policy and any signed engagement document between you and the firm, constitute the entire agreement between you and the firm with respect to the Site, and supersede all prior or contemporaneous communications and proposals on the same subject. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be replaced with an enforceable one that most closely reflects the original intent.
